The all-cash deal for the liquid storage operator will be funded through debt and requires regulatory approvals.
Adani Ports and Special Economic Zone Limited (APSEZ) will acquire a 100 per cent stake in Evos B.V. from Igneo Infrastructure Partners, according to BusinessLine on Thursday. The Netherlands-based company is Europe's second-largest independent liquid storage operator.
The transaction is an all-cash deal with an enterprise value of 2.56 billion euros. This represents an equity value of 1.18 billion euros for Evos, which equates to an acquisition multiple of 11.7x CY25 EV/EBITDA.
For the calendar year 2025, Evos recorded revenue of 392 million euros and an EBITDA of 219 million euros. This resulted in an EBITDA margin of 56 per cent.
APSEZ Managing Director Karana Adani said the company is delighted to welcome Evos into its portfolio to gain a presence in global liquid storage and energy hubs. He added that the firm looks forward to supporting Europe's sustainable energy transition.
The acquisition will be financed via debt. The deal remains subject to works council consultation and various regulatory and other approvals.
